    The first time I heard Joe Floren speak I was standing behind him in an elevator in his law firm’s San Francisco office tower  as another lawyer informed him that the subpoena Joe Floren had served the previous day on a colleague of mine had reached her in the hospital, after a difficult delivery of her first child, while she was breastfeeding for the first time.

    Gleefully Joe Floren replied, “Really? That’s beautiful. I love it!”

    Joseph E. Floren, Esq., is a lawyer at Morgan Lewis, the white shoe law firm defending Goldman Sachs against Overstock’s prime broker litigation, and tonight I celebrate the mistake Joe Floren made yesterday.  In filing Goldman’s response to Overstock’s motion to vacate the trial court judge’s decision to stay his own decision to unseal various documents related to this litigation (in more straightforward English: the trial court judge decided to unseal some documents while also deciding to delay acting on his decision, but we objected to this delay, and Goldman responded to our objections), Joe Floren screwed the pooch. He filed something containing an attachment he forgot to redact. That attachment is a previous filing of Overstock’s, a filing which contains but a sample of the shenanigans at Goldman and Merrill that has turned up over the course of five years and millions of pages of discovery, but which filing we had redacted when we made it (as good litigants do).

    Fortunately for the cause of all that is good and right about America, Joe Floren’s goof came to the attention of a diligent 1st amendment attorney in California named Karl Olson, who represents the Economist, Bloomberg, the New York Times and Wenner Publications (owners of Rolling Stone magazine) in their efforts to obtain the documents.  Karl Olson provided Joe Floren’s sloppy filing to his clients.         May 17th 2012 – An American tax exile living in the Cayman Islands has emerged as a winner from the chaos engulfing Greece, even as the political and economic turmoil in the beleaguered nation deepened yesterday, with Athens putting a senior judge in charge of an emergency government to lead it to fresh elections.

        Kenneth Dart, the Michigan-born heir to a disposable cups fortune, was handed an estimated €400m (£320m) cheque from Greece this week, after successfully calling the country’s bluff and refusing to take part in the restructuring of government debt that saved Greece from default in the spring.

        After decamping from the US on his 220ft yacht, he settled in the Cayman Islands, where he is a powerful real estate developer. Dart Management, along with another vulture fund Elliott Associates, is likely to have picked up Greek debt at a fraction of its value in the hope of being able to force the country into paying some or all of what it owes. The two firms are still suing Argentina in the US courts to demand full payment of bonds on which that government defaulted in 2002. Mr Dart first came to international attention in this sphere by pocketing an estimated $600m from putting pressure on the Brazilian government after its default in 1993.

        Too many people on these sites blame all of the Greek people, or display complete indifference to the plight of babies, the infirm, widows, school children, nurses and all the others, who are suffering because of bankers greed. I suppose they deserve it for being Greek, eh? And the vile and voracious Kenneth Dart deserves to pick their bones? Makes you proud to be part of the human race.

        With their huge reserves locked out of the world economy it will be possible to print more money to make up for the shortfall.”

          Fiat money is money that derives its value from government regulation or law: the initial value of fiat money is established by government decree. The term fiat currency is also used when the fiat money is used as the main currency of the country. The term derives from the Latin fiat, meaning “let it be done” or “it shall be”.

          As it is now globally evident – Camp David, Maryland U.S.A. included – that very few people seem to (or pretend to) understand how a fiat currency works, I suggest we go back to the basics:

          Most of the money supply in a country is created by banks as debt out of thin air. The notes and coins is a small part of the money supply and since no nation is on the gold standard anymore, money has no intrinsic value and the size of the money supply does not need to be constant. It can be decreased in good times and increased in bad times.

          There are three ways that a government can raise money for public spending:

          1. Taxes.

          2. Borrowing from private financial institutions.

          3. Gift from the central bank.

          The third option is very important in the present crisis. Usually it is disguised as lending but that is not true since if one arm of the government makes money out of thin air and lends it to another arm of government it is not lending but money creation.

          On the insistence of the German government the third option has been taken off the table for all countries with the Euro because the ECB is forbidden to lend to countries which have the Euro.

          This is the main cause of the present crisis.

          Countries that are not on the gold standard and do not have public loans in a foreign currency CANNOT GO BANKRUPT !

          The German rules has, however, de facto put Europe on a gold standard and driven Greece bankrupt.

          The problem with central banks creating money and then use it for public consumption is an increase in inflation.

          However, the ECB has just created a trillion Euros and given it to the banks.

          It is absolutely absurd that money is given to banks at close to zero interest in this way so that they can lend it to Portugal at 12%. Clearly the Germans thinks it is perfectly fine to help the (German) banks with trillions of Euros of welfare but not the people of Europe.

          So what should have been done ?

          In the beginning of the crisis the ECB should have offered the Greek government a 400 billion loan over 100 years at 0.1% interest from money created out of thin air.

          This would not have cost the Europeans anything cause the amount is small and the money was already spent i.e. no increase in inflation.

          It is now crystal clear that the root of the problem is that back in those high-flying days, banks lent far too much money in the hope of making a killing. It didn’t work out.

          Interest repayments and bad debts are stalling any chance of a recovery.

          The solution is simple:

          1. Debts need to be restructured or written off completely.

          2. Banks need to be restructured, recapitalised and nationalised. Full-stop.

      Wow, what a great favor this attorney has unwittingly done for America! Your battle to bring justice to these criminals, just got the biggest possible fuel injection, and I believe this is about to create a tidal wave of support for not only your efforts, but to help clean the marketplace up from these illegal activities.       Short seller Jon Carnes made millions of dollars publishing anonymous reports accusing Chinese companies of fraud. Now settled in Vancouver after fleeing threats of violence in China, he’s trying another business model: providing tips to the U.S. government.

      The 38-year-old says he’s applied to the U.S. Securities and Exchange Commission for whistle-blower status in connection with lawsuits filed by the regulator accusing two executives at China’s Puda Coal Inc. (PUDA) of fraud. The SEC program, established following the 2010 Dodd-Frank Act, gives informants a share of proceeds if their information leads to more than $1 million in penalties.

      Carnes, who at one time worked with Muddy Waters LLC founder Carson Block, is among short sellers who have published fraud allegations as they try to drive down share prices. While the high-stakes strategy paid off for Carnes, who posts his anonymous reports on his website alfredlittle.com, it has also brought him lawsuits and physical threats to some of his associates. Carnes’ experience in China and his decision to help the SEC may illustrate the limits of short selling in a country where foreign investors have fewer legal rights compared to North America.

      “I would never have done AL if I could go back,” Carnes said, referring to the website’s initials. “Our friends who didn’t publish anything and just shorted, they made just about as much money as we did without any fallout.”
      Reverse Takeover

      Congress expanded the SEC’s whistle-blower provisions after the agency failed to act on tips it received about Bernard Madoff’s multibillion-dollar fraud. Under the program, a whistle-blower can be awarded 10 percent to 30 percent of any money the SEC collects, depending on how central the tip was to proving the case. The SEC said in a November report that 334 tips had been received under the program in its first 50 days of operation.

      “When we discovered this last year, we thought this was perfect,” said Carnes in his first public comments about his short selling. “One thing that’s very helpful for us in protecting ourselves is if these Chinese companies think the SEC is listening to us.”

      Puda Coal is a so-called Chinese reverse takeover company, after it acquired another company to gain a share listing in North America rather than holding an initial public offering. The allegations made against Puda and other companies by short sellers such as Carnes and Block have heightened investor scrutiny of reverse-takeover companies trading in the U.S. and Canada. The Bloomberg Chinese Reverse Mergers (CHINARTO) Index fell 62 percent last year.
      ‘Good Story’

      In a short sale, a trader borrows shares and sells them. If the price drops, the trader profits by buying back the stock at a lower price, repaying the loan and pocketing the difference.

      Negative research reports like those published by alfredlittle.com and Muddy Waters attract attention because “people like the drama — it’s a good story,” says Kevin Carter, co-founder and chief executive officer at Baochuan Capital Management LLC in Walnut Creek, California, which oversees more than $50 million of investments. “These guys are yelling fire in a movie theater.”

      Carnes, who is married with children, wore open-collared shirts and a black Ermenegildo Zegna jacket at two interviews in downtown Vancouver last month. He said he made a $2.5 million profit shorting Silvercorp Metals Inc. (SVM), a Vancouver-based company that mines silver in China. The shares slid 20 percent on Sept. 13, the day a report questioning Silvercorp’s deposits and production was published on alfredlittle.com.
      Police Investigation

      The British Columbia Securities Commission is probing Carnes’ allegations about Silvercorp. Carnes says he’s cooperating with SEC investigators and Canadian police.

      Lorne Waldman, a spokesman for Silvercorp, Richard Gilhooley, a spokesman for the British Columbia watchdog, and John Nester, an SEC spokesman, declined to comment. Sergeant Duncan Pound, a spokesman for the Royal Canadian Mounted Police, said an investigation by his force is continuing and declined to comment further.

      A request for comment to Puda Coal’s offices in China wasn’t immediately answered.

      Silvercorp named Carnes in a lawsuit filed in the State Supreme Court of New York alleging defamation. Sino Clean Energy Inc. (SCEI) and Deer Consumer Products Inc. (DEER), also targets of reports on alfredlittle.com alleging fraud, have also each filed complaints in the same court alleging defamation.
      Legal Bills

      Helen Wang, a Deer spokeswoman, couldn’t be reached for comment. Jing Li, an assistant to Sino Clean’s chief executive officer, denied the short sellers’ allegations.

      “We are very confident about the business fundamentals of our company,” Li said. “I’m not saying Chinese companies do not have certain problems, but making a profit by distorting facts and exaggerating minor problems is very unethical.”

      Carnes, who said the Puda application for whistle-blower status cost him $50,000 in legal fees, also plans to seek whistle-blower designation in relation to Silvercorp.

      “If even one settlement does come through, that could be a nice pay day, and maybe offset all the legal bills we’re piling up,” he said.

      U.S.-born Carnes says his investment career began in 1991 with $3,000 earned from a part-time job at a fried-chicken restaurant in Columbia, South Carolina. Between 1996 and 2001, Carnes says he earned as much as $100,000 a day trading shares until the Nasdaq market changed its pricing to decimals from fractions, making his trading style unprofitable.
      Vancouver Move

      Carnes says he later worked with investor Andrew Worden on “long” investments in China. Worden, who runs Barron Partners LP, now a New York-based investor in clean energy, declined to comment.

      To be closer to China, Carnes says he relocated to Vancouver from Las Vegas. He employed a group of graduates from the University of British Columbia to conduct due diligence on companies in China.

      Carnes’ initial focus was on private investments in public equity, or PIPEs, in which investors acquire shares of a public company at a discount in exchange for capital. The buyer is then restricted from selling on the open market for a set period.

      “He was never a promoter, he was just very, very, very cautious and he was the one who would go look and visit and see what was going on at these companies,” said Steve Mazur, a Pennsylvania-based private investor who invested with Carnes in two Chinese companies. “I don’t think he’s the type of guy who would make up things to make money.”
      ‘Low-Hanging Fruit’

      Carnes said that when his due diligence found evidence of questionable practices at publicly traded companies, he decided to use it.

      “When there’s so much low-hanging-fruit frauds, then you go get them as fast as you can,” he said.

      Carnes says he first met Block in September 2010 to talk about a report on Orient Paper Inc. (ONP) published by Block’s research firm Muddy Waters. Block — the founder of a self- storage company in Shanghai called Love Box and co-author of “Doing Business in China for Dummies” (For Dummies, 384 pages, $21.99) — subsequently cooperated in shorting Rino International Corp. (RINO), a Chinese designer of wastewater equipment.

      Muddy Waters said in a November 2010 report that Rino had exaggerated its revenue. Rino said in a filing eight days later that two years of financial statements weren’t reliable. The shares tumbled 67 percent that month in U.S. trading.

      “Carson, overnight, was famous,” Carnes said. “The short sellers, Carson and us, really woke up to, wow, there’s a killing to be made here exposing fraud.”
      Sino-Forest

      Zach Kouwe, a spokesman for Block, and Rino Chief Financial Officer Ben Wang declined to comment.

      “We were very shocked when we saw Muddy Water’s report because all the allegations were highly misleading and inaccurate,” Orient Paper said in an e-mail. “The company believes the allegations are false and their short selling is totally irresponsible behavior to not only the company but the entire market.”

      Carnes and Block later split amicably, according to Carnes, with Block aligning himself with investors in Hong Kong.

      Block published a Muddy Waters report in June that alleged fraud at Sino-Forest Corp. (TRE), China’s largest forestry company. Sino-Forest fell 74 percent in Toronto, losing investors about C$3.3 billion ($3.3 billion), before the shares were suspended amid investigations by the Ontario Securities Commission, Canada’s top securities watchdog, and the RCMP.
      Silvercorp Slump

      Sino-Forest has denied the allegations and is suing Block for defamation. The Hong Kong-and Mississauga, Ontario-based company owes bondholders $1.8 billion and filed for bankruptcy in March. Sellers of credit-default swaps on Sino-Forest Corp. bonds will have to pay 71 cents on the dollar to settle contracts, following an auction for the bonds held May 9.

      Carnes says questions about the accuracy of Silvercorp’s filings to China’s State Administration for Industry & Commerce began to emerge in the first half of last year, prompting Carnes, Block and other short sellers to separately undertake due diligence. On Sept. 2, Silvercorp fell 9.7 percent in Toronto after it said in a statement it was aware of an anonymous letter dated Aug. 29 alleging irregularities. Silvercorp denied the allegations, which are summarized in the statement.
      ‘At Risk’

      Carnes says he was so disappointed with the Silvercorp response to the letter that he decided to publish his own research on Sept. 13. Later that day, Block posted on Twitter that he was shorting Silvercorp.

      “I had no clue that Carson was going to tweet that he was short, and when he did the bottom fell out of it,” said Carnes, who says he pocketed $1 million that day.

      In total, Carnes says he and the contributors to what he calls his investment partnership have made about $10 million from shorting Chinese companies.

      Carnes says the reason he published anonymous research was for protection from the companies he targeted. Despite being “obsessive” about security, Carnes says his associates faced threats after they were identified as being part of the alfredlittle.com operation.

      In an affidavit filed in the State Supreme Court of New York in September, Carnes said he was aware of five separate incidents in China in which people with whom he has associated in researching companies were subject to threats or physical violence. Carnes said he heard of the incidents directly from the associates and saw facial bruises from the beatings, according to the affidavit.

      Carnes says people liked working for alfredlittle.com in China and he paid them well.

      “The only danger we felt was the danger of being beat up,” he says. “I’m worried about the guys in China. They are all at risk.”

      4 Mortgage Fraudsters Sentenced Tuesday, January 31 2012 00:15

      Aaron Hand, Oyster Bay Cove, New York, Kenneth Law, Pelham, New York, Eric
      Shields, Media, Pennsylvania, and Jerry Strklja, Queens, New York, were
      sentenced for perpetrating a massive mortgage fraud scheme conducted through a
      corrupt loan origination company called AFG Financial Group, Inc.

      As previously reported by Mortgage Fraud Blog, the defendants were charged via
      indictment for operating a $100 million mortgage scam and were found guilty by a
      jury in 2011 of multiple felonies, including Enterprise Corruption, Scheme to
      Defraud, Conspiracy, and dozens of Grand Larcenies.

      Hand was sentenced to 8 â?” 25 years in state prison; Law was sentenced to 5 to
      15 years in state prison; Shields was sentenced to 5 ½ � 16 ½ years in state
      prison; and Strklja was sentenced to 3 to 9 years in state prison.

      Beginning in July 2008, the Manhattan, New York, District Attorney’s Office
      launched its investigation into the activities of AFG, called “Operation Broken
      Brownstone,” which revealed a nearly four-year path of mortgage fraud totaling
      well over $100 million in bad loans. To date, there have been nearly 30
      convictions resulting from the investigation.

      Manhattan District Attorney Cyrus R. Vance, Jr., announced the sentencing.

      District Attorney Vance thanked Assistant District Attorneys Edward
      Starishevsky, Garrett Lynch, and Harold Wilson, all under the supervision of
      Principal Deputy Chief Gary T. Fishman; paralegal analysts Richard Kim, Song-Mee
      Yoon-Smith, Katie Ko, Alexis Etow, and Steve Hsia; and DANY Investigators Thomas
      Jackson, Gerald Bergold, Michael Wigdor, Santiago Batista, Stephen McCallion,
      and Chief Investigator Walter Alexander. Senior Investigative Counsel Richard T.

      We keep forgetting that every Crisis, like a coin, has two faces:

      One is the mountain of debt and losses that is crushing states, people and banks.

      The other is an equally imposing mountain of accumulated savings that are to ‘frightened’ to fund investment, thus remaining idle and frittering away. Keynes famously invoked the Paradox of Thrift in order to explain this unhappy co-existence of intolerable debts and idle savings; a symbiosis fuelling the Depression. Rob Johnson, in a recent book chapter, adds another dimension to this situation; one that is new and just as scary: The Paradox of Risk Aversion.

      Rob Johnson’s main point is that, following the Crash of 2008, our world is in a state of structural disequlibrium. In this disequilibrium state, there is a global excess demand for ‘safe assets’.

      And since we cannot ALL own safe assets at once (just like not all nations can have, simultaneously, a trade surplus), unless investors find the courage to invest in less than perfectly safe assets, then no assets will be safe, all assets will wither, and a new Global Depression will be upon us.

      Moreover, given the oligopolisation of savings, due to the concentration of global savings in a small number of sovereign wealth funds, the risk aversion of the sovereign wealth fund managers is threatening to undermine any chance of the global rebalancing which is, whether we like it or not, a prerequisite for a Global Recovery.

      Here is Rob’ conclusion of what is needed if the global economy is to have a chance of rediscovering its poise:

      “What is needed is not bubbles or austerity but a policy constellation directly targeted on investment spending, human capital investment, modernisation of the supply side, and a focus on productivity growth to inspire confidence that the sovereign-debt-to-GDP ratios can be managed sustainably and be consistent with ecological concerns.”

      And how will this be achieved?

      Rob’s answer is predicated upon the thought that sovereign wealth funds must play a major role in effecting such investment spending. I think he is right. And this is precisely, at least in Europe, there is a desperately need for a combined effort by the European Investment Bank and the European Central Bank (utilising EIB-issued and ECB-issued bonds) to harness the capacity of the sovereign wealth funds and mobilise idle (risk averse) savings in the context of a Social-Green Investment-led Recovery Program – a New Deal for Europe. Rob Johnson’s point is that something like of the sort is needed, not only in Europe, but also in the United States.

      He is spot on.

The third generation of his family to be born in Kenya and raised in the Congo, he grew up about the time European powers had begun returning many African Colonies to self rule. The policies of the new regime made this period a very dangerous time for non-black Africans. For example, one such policy by Idi Amins’ new government gave citizens of Indian and Asian decent only 30 days to leave the country forcing them to leave all assets in country save for a couple of hundred dollars which they were allowed to take. As a result, Nazerali’s family was one of thousands who migrated to Canada in the early 1970s.

      Nazerali’s family had always put great emphasis on education as a way to succeed and also as an asset that could never be expropriated – something no one could take away from you. This emphasis on education made Nazerali a star student at his Congo high school and pressed him to look beyond the limited higher education facilities in the retion and set his sights on Columbia University where he was accepted at age 15. There was a little bump in the road when, two weeks prior to when he was to report to college, he received a telegram from Columbia University stating they had just learned Nazerali’s age which was a problem. New York law at the time prohibited anyone under age 17 from living on campus and it said that he should not come. His father quickly wrote back taking full responsibility for his son and letting the University know that it need not worry. The next thing Nazerali knew he was in New York suitcase in hand, $200 in his pocket and no place to live. He eventually found a place to live and by the age of 20 had earned his Bachelor of Arts degree and a MBA, a rare event at the time.

      Immediately upon graduation, his family was forced to relocate to North America due to political events in Africa where they had lived for three generations. While helping his family in Canada, Nazerali began searching for a job. The president of GTE saw something in him and took a calculated career risk by hiring Nazerali because he believed this bright young man had what it took even though he lacked any experience. Nazerali was hired as a financial analyst and was quickly promoted to in-country manager for Algeria where he managed a $235 million project to build the largest electronics plant in the world under one roof. This was the springboard for a long and successful international business career.

      He later went on to achieve many successes including participating in several large-scale communications network and engineering projects throughout North Africa and the Middle East from the mid 1970s to the early 1980s. He moved his home base to Switzerland and Luxembourg in the mid 1980s where he specialized in commodity-based financing projects using barter and country trade. By 1988, Nazerali had returned to Canada and served as principal for a commodity futures trading company that operated a top performing Canadian mutual fund between 1989 and 1991.

      Then in 1995, Nazerali jumped into the Brazilian market when he founded Canbras Communications Corp., an early entrant into the Brazilian subscription television industry following deregulation. Later BCI, an affiliate of Bell Canada, acquired a controlling interest in the company.

      Since 1991, Nazerali has also served as a principal of Valor Invest Ltd., a merchant banking firm, where he financed numerous companies focused primarily on natural resources, software, telecommunications, and emerging technologies located in Japan, North America, and Europe.

      Nazerali maintains a permanent residence in Vancouver, Canada where he lives with is wife and youngest son. He also has two grown children — His oldest son earned an Executive MBA from Duke University and his daughter earned a Masters in Public Health from Harvard University.
